Terms of Service

These Terms of Service ("Terms") are an agreement between [COMPANY LEGAL NAME] ("LoyVue", "we", "us") and the business or person that creates a LoyVue account ("you", the "Business"). By creating an account or using LoyVue, you accept these Terms. If you use LoyVue on behalf of a company, you confirm that you are authorised to accept these Terms for it.
1. The service
LoyVue is a software-as-a-service platform that lets businesses design digital loyalty cards, issue them to their customers ("Cardholders") through Apple Wallet and Google Wallet, record visits, stamps, points and rewards, send updates to cards, manage locations and team members, and view reports. LoyVue includes a web dashboard, branch apps for Android and iOS used by staff to scan cards, and optional integrations such as Salla.
LoyVue is intended for business use. You must be at least 18 years old and able to enter into a binding contract.
2. Your account and team
- Give accurate information when you sign up and keep it up to date.
- Keep your password confidential. You are responsible for all activity under your account, including actions taken by team members you invite.
- The account owner controls the workspace, its data and its subscription. Staff accounts should only be given to people who work for your business.
- Tell us immediately at [SECURITY EMAIL] if you suspect unauthorised use.
3. Plans, billing and payment
LoyVue offers a free plan and paid subscription plans. Paid plans are billed in advance, monthly or yearly, through our payment processor Stripe. The details — renewals, plan changes, failed payments, taxes and price changes — are set out in our Billing & Subscription Policy, and cancellations and refunds in our Refund & Cancellation Policy. Both form part of these Terms.
4. Your loyalty programs
You are the operator of your loyalty programs, and your relationship with your Cardholders is between you and them. You are responsible for:
- the rules, rewards and terms you offer Cardholders, and honouring the rewards they earn;
- complying with laws that apply to your programs, including consumer protection, promotions, gift and voucher, tax and marketing laws in your country;
- the content of cards, messages and notifications you send through LoyVue.
LoyVue is not a party to your program and does not guarantee any reward to Cardholders.
5. Customer data
For Cardholder data, you are the data controller and LoyVue processes that data on your behalf, as described in our Privacy Policy. You confirm that you have a lawful basis to collect Cardholder data, that you give Cardholders a privacy notice, and that you will handle their requests to access or delete their data. You own your data. We use it only to provide and improve the service, keep it secure, and comply with the law.
6. Apple Wallet, Google Wallet and other third-party services
Wallet cards rely on services operated by Apple and Google, payments rely on Stripe, and integrations rely on the platforms you connect, such as Salla. Their availability, features and terms are controlled by those providers and may change or differ by device or country. We are not responsible for third-party services, but we will work to keep LoyVue compatible with them. Using an integration may require you to accept that provider's terms.
7. Acceptable use
You must follow our Acceptable Use Policy. In short: no illegal activity, no spam, no misleading rewards, no misuse of personal data, and no attempts to break or overload the service.
8. Intellectual property
LoyVue, including its software, design and brand, belongs to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use LoyVue during your subscription under these Terms.
You keep all rights to your content, such as your business name, logo, card designs and texts. You give us permission to host, display and transmit that content only as needed to provide the service, including placing it on wallet cards. If you send us feedback, we may use it without obligation to you.
9. Availability and changes to the service
We work to keep LoyVue available and secure but do not guarantee uninterrupted service. [SERVICE LEVEL COMMITMENT, IF ANY]. We may add, change or remove features. We will give reasonable notice before removing a feature that materially reduces a paid plan. Branch apps may require updates to keep working.
10. Suspension and termination
You can stop using LoyVue and cancel your subscription at any time, as explained in the Refund & Cancellation Policy. We may suspend or close an account that breaches these Terms or the Acceptable Use Policy, fails to pay, or creates a security or legal risk, with notice where reasonably possible. After closure, you can ask for an export of your data within [EXPORT WINDOW, e.g. 30 days], after which it is deleted as described in the Privacy Policy. Wallet cards already issued may stop updating once an account is closed.
11. Disclaimers
LoyVue is provided "as is" and "as available". To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any business result, such as more visits or revenue.
12. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim relating to LoyVue is limited to the amounts you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnity
You will defend and indemnify LoyVue against claims by Cardholders or third parties arising from your loyalty programs, your content, or your breach of these Terms or applicable law.
14. Governing law and disputes
These Terms are governed by the laws of [GOVERNING LAW / COUNTRY]. Disputes will be resolved by the courts of [COURTS / VENUE], unless mandatory law in your country says otherwise. Before starting formal proceedings, please contact us so we can try to resolve the issue.
15. Changes to these Terms
We may update these Terms. We will post the new version here with a new date and notify account owners of significant changes by email or in the dashboard at least [NOTICE PERIOD, e.g. 30 days] before they take effect. Continuing to use LoyVue after that means you accept the updated Terms.
